Software Terms of Use
Last updated: [PUBLICATION DATE]
These terms govern the use of the software offered by Afulink Educação Tecnologia e Inovação LTDA, registered in Brazil under CNPJ No. [CNPJ] (“Afulink”): ResidencialLink and Arquivme (the “Services”). “Customer” means the building, company or person that subscribes to the Services; “User” means anyone who accesses the Services on the Customer’s behalf.
1. Acceptance
By subscribing to or using the Services, the Customer and its Users agree to these terms and to the Privacy Policy. If a signed contract or commercial proposal exists, its specific conditions prevail over these terms where they differ.
2. The services
- ResidencialLink: a system for residential buildings with package management, resident notifications by email and WhatsApp, and building Wi-Fi administration.
- Arquivme: a file management and sharing system with multiple users and permission control.
The Services are offered as subscription software (SaaS), accessed over the internet. We may improve, change or remove features, giving the Customer advance notice when a change materially affects what was contracted.
3. Accounts and access
- The Customer is responsible for its registration information and for the people it authorizes to access the Services.
- Logins and passwords are personal. Users must keep them confidential and notify Afulink immediately of any unauthorized use.
- The Customer sets each User’s permissions and is responsible for actions taken through the accounts it creates.
4. Acceptable use
You may not use the Services to:
- store or share illegal content, content that infringes third-party rights, or malicious code;
- send unsolicited messages (spam) through notifications;
- attempt to access areas, accounts or data without authorization, or test for vulnerabilities without written permission;
- copy, resell, reverse engineer or sublicense the Services;
- intentionally overload the infrastructure.
In case of a violation, Afulink may suspend the access involved, notifying the Customer whenever possible.
5. Customer content
Files, records and data entered into the Services belong to the Customer. Afulink uses them only to provide the Services, keep them secure and comply with the law. The Customer warrants that it has the right to enter this content, including personal data of residents, employees or third parties, and that it has informed data subjects where required.
6. Plans and payment
- ResidencialLink: monthly fee plus setup fee, as set out in the commercial proposal.
- Arquivme: custom pricing, defined in the commercial proposal.
Prices, payment methods and adjustments are set out in the proposal accepted by the Customer. If payment is more than [PERIOD, e.g. 15 days] overdue, access may be suspended until it is settled, after notice. The setup fee covers configuration and training work and is non-refundable once that work has been done.
7. Availability and support
We work to keep the Services continuously available, but interruptions may occur for maintenance, updates or due to third-party failures (power, internet, email and WhatsApp providers). Scheduled maintenance will be announced in advance whenever possible. Support is provided by email at contato@afulink.com.br [and other channels/hours set out in the proposal].
8. Intellectual property
The software, the ResidencialLink, Arquivme and Afulink brands, the design and the documentation belong to Afulink. Subscribing grants the Customer a non-exclusive, non-transferable license to use the Services while the contract is active and transfers no ownership rights.
9. Liability
- Afulink is liable for direct damages it causes in providing the Services, limited to the amount paid by the Customer in the [NUMBER] months before the event, except where the law does not allow such a limitation.
- Afulink is not liable for content entered by the Customer, misuse of accounts, or failures of third-party services beyond its control.
- ResidencialLink helps track packages, but physical custody of the packages remains the building’s responsibility.
- We recommend that the Customer keep its own copies of important files.
10. Termination
The Customer may cancel according to the terms of the commercial proposal. After termination, data remains available for export for [PERIOD, e.g. 30 days] and is then deleted, except where the law requires it to be kept.
11. Personal data
Personal data is processed in accordance with the Privacy Policy and the LGPD. For data entered by the Customer, Afulink acts as processor and the Customer as controller.
12. General provisions
- We may update these terms; relevant changes will be communicated to Customers in advance.
- If any clause is found invalid, the others remain in effect.
- These terms are governed by Brazilian law. The courts of [CITY/STATE], Brazil, have jurisdiction, without prejudice to consumer rights where applicable.
- The Portuguese version of these terms prevails in case of any discrepancy between translations.
